The first batch of four guiding judicial cases with milestone significance was enacted by the Supreme People's Court in December 2011. Among them, Disputes on Intermediary was ranked No.1. Similar problems have been in existence extensively in many sectors, whereas systematic research from the perspective of economics and management has never been made..The Deal-missing Problems, which is prevalent both nationally and internationally, will be approached from the perspective of Information Cost, Price Difference in Distribution Channels and Rent Structure with relevant analysis methods, such as, Case Study, Game Theory and Economics of Information. By analyzing the motives, mechanism and regular patterns of the Deal-missing cases, including Bypassing-Agent, Showrooming, Renting Less & Selling More, Prescribing-inside & Buying-outside, we will construct a specialized B-T-C Paradigm to study the Deal-missing Problems..Resembling the S-C-P paradigm in Industrial Organization Theory, the B-T-C Paradigm will facilitate the deconstruction of the Deal-missing Problems and the appraisal of their market efficiency and social welfare, so as to reduce the transaction cost, optimize of the three-party contract and strengthen legal supervision.
中国最高人民法院在2011年12月,颁布了具有里程碑意义的首批四个指导性案例(相当于英美法系的"司法判例")。其中,"居间纠纷"跳单案例为四个之首。与其类似的"跳单问题"在许多行业早已广泛存在,但是缺少经济学和管理学的系统研究。.本项目运用案例研究、博弈论和信息经济学等分析方法,从"信息成本"、"渠道价差"和"租金结构"的不同视角,研究在国内外众多行业都广泛存在的"跳单问题"(如"居间纠纷"、"店选网购"、"租少售多"、"院诊店购"等)的动因、机理和规律,并在此基础上构建专门研究此类问题的"B-T-C范式"(B-T-C Paradigm,对应广义的"原商"-"中间商"-"客户"关系)。.这种"B-T-C范式"类似于产业组织理论中的 "S-C-P范式"(结构-行为-绩效),可方便用于对具体"跳单问题"的解构和效率评价,从而达到减少交易成本、优化三方合约和加强法律监管的目的。
本项目在研究“居间纠纷”、“店选网购”、“租少售多”、“院诊店购”等系列跳单案例的基础上,构建分析跳单问题的“B-T-C范式”,形成了新的经济学和管理学研究方向——跳单经济学和企业策略理论。本项目的研究结论丰富和发展了企业理论和法律经济学相关理论。. 主要结论和成果包括:. 1. 由于跳单具有二重性——搭便车和促竞争,所以应采用“合理推定”原则判定跳单行为的法律属性,并须建立分类执法的理念。. 2. 渠道价差是分析跳单问题的主要工具,具体表现为多种形式,主要包括信息成本、店面成本、租金结构、交易成本等。. 3. 本项目发现并提炼出“跳单与RPM(维持转售价格)互克理论”,可为反垄断执法或竞争政策落实提供理论基础和实施工具,并已在实践中多次应用。. 4. 结合“店选网购”跳单现象,总结出“跳单三定律”,为研究互联网冲击下企业的应对策略、政府的政策选择提供新思路。. 5. 结合“居间纠纷”跳单现象,总结出“跳单四定理”,为分析和解决最优违约问题提供理论依据。. 6. 结合“租少售多”跳单现象,创立“新租金理论”,为进一步研究和完善激励性合约机制奠定基础。
