资本市场治理功能对矿产行业整合及其经济后果的影响研究

The role of mining industry in encouraging economic growth has been drawing increasing attention. The extant literature provides evidence on the interaction between resource abundance and institutions using country-level data on economic growth. Nevertheless, it is hard to identify the specific channels through which the resource curse works. Using microeconomic data, this project examines the listed firms' economic strategies and behaviors to find the effects of governance mechanisms of capital markets on mining industry integration and economic consequences. Firstly, the role of four firm-level governance mechanisms in the process of mining industry integration are concerned, such as ownership structures and shareholder rights, board governance and executive compensation, disclosures and accounting quality, and corporate social responsibility. Secondly, the project examines the role of the four firm-level governance mechanisms in mining industry integration and firm-level economic consequences. Thirdly, the project examines the role of the four firm-level governance mechanisms in industry-level economic consequences. This project contributes to the study of resource curse and corporate governance and serves as reference for policymakers.

随着矿产行业在经济体系中发挥的作用越来越大，如何推进矿产行业对经济增长的积极作用受到越来越多的关注。本项目结合中国矿产行业整合的背景，以上市公司在矿产行业整合中的经济决策和经济行为作为研究对象，考察资本市场治理功能对矿产行业整合及其经济后果的影响。基于资本市场治理功能在公司层面的作用机制，本项目分别从股权结构与股东权利、董事会治理与高管激励、信息披露与会计质量以及公司履行社会责任这四个方面展开研究，首先考察治理功能在矿产行业整合过程中产权安排、治理模式选择、资产定价、环境保护等方面的具体作用机制，然后考察公司层面的经济后果，最后考察行业层面的经济后果。本项目主要采取典型案例研究与大样本经验研究相结合的研究方法。研究成果将推进自然资源禀赋与经济增长、公司治理等研究领域的理论发展，为矿产行业的公司高管、监管机构等进行相关决策提供参考依据。

本项目基于微观层面上市公司的数据，采用典型案例研究与大样本经验研究研究方法，考察资本市场的治理功能，以及对中国矿产行业整合的影响。具体而言，本项目从股权结构与股东权利、董事会治理与高管激励、信息披露与会计质量以及公司履行社会责任这四个方面展开研究。研究表明在矿产行业整合的过程中，股权性质、股东委派董事、高管薪酬业绩敏感性、公司会计信息披露以及社会责任活动发挥了重要的治理作用。课题研究成果推进自然资源禀赋与经济增长、公司治理等研究领域的理论发展，为矿产行业的公司高管、监管机构等进行相关决策提供参考依据。
