声誉机制与独立财务顾问制度的有效性：来自重大资产重组的证据

At present material assets reorganizations (MARs) are playing an important role in helping China’s listed firms to achieve transformation and upgrading. Hence, it is both theoretically and practically meaningful to investigate the incentives and effects of independent financial advisors (IFAs), which are among the core consultative agencies in MARs. IFAs fulfill dual functions, which are the transaction role and the assurance role. However, the agency conflicts between IFAs and listed firms may result in invalid functions of IFAs. Based on China’s institutional background, this project studies if the governance effects of reputation mechanism can improve the validity of IFA system. Specifically, we investigate (1) the theoretical framework on how reputation mechanism affects incentives and behaviors of IFAs and related constraint conditions; (2) how reputation mechanism affects the decisions on hiring IFAs; (3) how reputation mechanism affects the impacts of IFAs on deal completion rate, performance and premium; (4) how reputation mechanism contributes to the independence of IFAs. This project has important implications on understanding how reputation mechanism affects behaviors of IFAs and providing practical reference on how to improve the IFAs system.

在重大资产重组为上市公司转型升级发挥着重要作用的当下，讨论其中的核心中介机构——独立财务顾问——的行为动机和后果具有突出的理论与现实意义。独立财务顾问同时具有协助交易与鉴证重组公允性两项职能，但与上市公司之间的代理冲突可能导致其职能的无效性。基于我国现实背景，本项目讨论声誉机制具有的治理效应是否有助于提高独立财务顾问制度的有效性。研究内容包括：声誉机制影响独立财务顾问行为动机与后果的理论框架，以及声誉机制发挥作用的约束条件；声誉机制对上市公司聘请独立财务顾问决策的影响；声誉机制影响下独立财务顾问对重组效率、绩效和溢价的作用后果；声誉机制对提高独立财务顾问独立性的意义。本项目将有助于我们理解声誉机制是否以及如何影响独立财务顾问的行为，并就如何完善独立财务顾问制度提供政策建议。

在重大资产重组为上市公司转型升级发挥着重要作用的当下，讨论其中的核心中介机构——独立财务顾问——的行为动机以及对公司信息披露的影响具有突出的理论与现实意义。本课题目前的研究主要围绕着如下几个问题：①独立财务顾问需要同时履行交易作用与鉴证作用，但与上市公司之间的代理冲突可能导致其鉴证立场并不独立，因此本课题研究声誉机制是否可以增强独立财务顾问的独立性。实证结果显示，聘请高声誉独立财务顾问有助于上市公司创造更高的重组协同效应，但是相比鉴证作用，独立财务顾问的交易作用是解释上述关系的主要机制。②本课题的研究还发现独立财务顾问声誉与重组溢价正相关，说明聘请高声誉独立财务顾问反而可能导致更多的利益由上市公司转移至交易对方。③本课题通过进一步研究发现，高声誉独立财务顾问降低了重组失败率，具有保障重组完成的作用，从而解释了为何缺乏独立性的独立财务顾问仍然能维持高声誉。
